Corporate Legal Secretary
Location: Miami, FL (Onsite)
A respected law firm is seeking a Corporate Legal Secretary to support a busy corporate practice group. This position provides legal and administrative support to attorneys handling corporate transactions, governance, compliance, and business-related matters.
Key Responsibilities
- Draft, edit, format, and proofread legal documents including contracts, corporate formation documents (LLC agreements, shareholder agreements), resolutions, governance materials, M&A documents, financing agreements, and client correspondence
- Prepare and manage transaction-related materials, including closing binders, signature pages, corporate records, entity documentation, and deal files
- Assist with regulatory and compliance filings as needed, including maintaining corporate records and supporting filings with governmental or regulatory agencies
- Maintain and organize electronic and physical files, including version control, indexing, and document management
- Manage attorney calendars, schedule meetings (client, board, and internal), and coordinate travel and logistics
- Provide administrative support including correspondence, email management, phone coverage, expense reports, billing/time entry, and general office support
- Act as a liaison between attorneys, clients, staff, and external parties to ensure timely communication and follow-up
- Support special projects and provide additional assistance as needed, including overflow administrative or light paralegal tasks
Qualifications & Skills
- Prior experience as a legal secretary or legal assistant within a corporate or transactional legal environment
- Strong understanding of corporate legal terminology and processes, including entity formation, governance, M&A, and financings
- Proficiency in Microsoft Office (Word, Excel, Outlook); experience with document management systems is a plus
- Excellent written and verbal communication skills with strong proofreading abilities
- Strong organizational skills with the ability to manage multiple deadlines in a fast-paced environment
- High level of discretion when handling confidential and sensitive information
- Ability to work effectively with attorneys, clients, and external stakeholders while maintaining a strong client-service approach
